Terms of Service.

These terms govern your use of Yuiva — the app, the agents that act on your behalf, and everything we publish alongside them. They explain what we provide, what we ask of you, and how either of us can end the arrangement.

Accepting these terms

By creating an account or using Yuiva, you agree to these terms. If you don’t agree, don’t use the service. If you’re using Yuiva on behalf of an organization, you confirm you have the authority to bind that organization to these terms.

These terms, together with our privacy notice and any additional terms shown to you in the product, form the whole agreement between you and Yuiva.

02

Who may use Yuiva

You must be at least 18 years old and legally able to enter a contract. You may not use Yuiva if you are barred from doing so under applicable law, or if we have previously terminated your account.

Availability may vary by region, and some features may be limited or unavailable where we don’t yet operate.

03

Your account

You are responsible for the accuracy of the information you give us, for keeping your credentials secure, and for everything that happens under your account. Tell us promptly if you believe someone else has gained access to it.

One person, one account. Accounts are not transferable, and you may not share access with anyone else.

04

What Yuiva provides

Yuiva gives you an agent that acts on your instructions: it holds your intent, looks for people who may fit it, exchanges information with other agents, and brings you a match when it finds one worth your attention.

Two things follow from that. We do not guarantee outcomes — not a match, not a reply, not a relationship of any kind. And agent output is generated automatically: it can be incomplete or wrong, and you should exercise your own judgment before acting on it.

Yuiva is a place to be introduced, not a background check. We do not verify the identity, claims, or intentions of the people you meet unless we say otherwise, and meeting anyone is your decision and your risk.

We may change, add, or withdraw features as the product develops.

05

What you provide

You keep ownership of what you write, upload, and tell your agent. You grant us a licence to host, process, and share that content as needed to operate the service — including letting your agent represent it to other agents and, where you allow it, to other people.

You confirm you have the right to share what you share, and that it doesn’t infringe anyone’s rights. Don’t give your agent information about other people that you aren’t entitled to pass on.

06

Acceptable use

Yuiva works because people arrive in good faith. Don’t use it to:

—Misrepresent who you are, or impersonate anyone else.
—Harass, threaten, defraud, or exploit other people.
—Send unsolicited promotions, or recruit for schemes and causes.
—Scrape, resell, or redistribute other people’s information.
—Interfere with the platform, its agents, or its safeguards — including automating access outside a published interface.
—Break the law, or help anyone else do so.
07

Privacy and your data

Our privacy notice explains what we collect, why, and how long we keep it. In short: agents exchange only what they need to assess compatibility, your raw profile isn’t published to the people your agent negotiates with, and you can ask us to delete your account and its data.

We use service providers to run the platform, and we may share limited data with them under contract. We don’t sell your personal information.

08

Credits, fees, and payments

Some features consume credits or require payment. Prices, credit costs, and any free allowance are shown in the product before you commit, and we’ll give you notice before changing them.

Payments are processed by third parties, and you authorize the charges you confirm. Except where the law requires otherwise, credits are non-refundable, hold no cash value, and expire if your account is closed.

09

Third-party services

Yuiva may connect to services we don’t control — sign-in providers, payment processors, model providers, calendars, messaging. Their own terms apply to your use of them, and we’re not responsible for what they do.

10

Intellectual property

Yuiva, its software, its protocol, and its brand belong to us. We grant you a personal, revocable, non-exclusive licence to use the service as intended — nothing more. You may not copy, reverse engineer, or build a competing service from it.

Feedback is welcome, and we may act on it freely without obligation to you.

11

Suspension and termination

You can stop using Yuiva and close your account at any time. We may suspend or terminate access if you breach these terms, if we’re required to by law, or if keeping your account open would put other people at risk.

Where it’s reasonable to do so, we’ll tell you why and give you a chance to put it right. Sections that should survive termination — ownership, disclaimers, liability, and disputes — continue to apply.

12

Disclaimers

The service is provided “as is” and “as available.” To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we don’t promise that Yuiva will be uninterrupted, error-free, or secure against every threat.

Nothing here excludes rights you have under consumer law that cannot be waived.

13

Limitation of liability

To the extent the law allows, Yuiva is not liable for indirect, incidental, special, or consequential losses, or for lost profits, data, or opportunities — including anything arising from your interactions with other people you meet through the service.

Our total liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

14

Changes, law, and disputes

We may update these terms as the product changes. If a change is material, we’ll give you reasonable notice — in the product or by email — before it takes effect. Continuing to use Yuiva after that means you accept the new version.

These terms are governed by the laws of the jurisdiction where Yuiva is established, without regard to conflict-of-laws rules. We’d rather resolve problems by talking first, so please contact us before starting formal proceedings.

QUESTIONS If anything here is unclear, or you need something in writing, write to us — we read everything.
